The DSS License Transition, Explained for Sellers

An RCFE or ARF license doesn't simply transfer with a sale — the new operator applies for their own. Understanding how the transition works helps your escrow land smoothly.

One of the most common questions we hear from first-time sellers: “Does my license transfer to the buyer?”

The short answer is no — and understanding what actually happens is one of the keys to a smooth sale.

The buyer applies for their own license

RCFE and ARF licenses in California are issued by the Department of Social Services (DSS, Community Care Licensing Division) to a specific licensee. When a facility changes hands, the buyer applies for their own license for the location. Your license doesn’t ride along with the deed.

That application involves the buyer’s qualifications and administrator certification, fingerprinting and clearances, and a review of the facility itself. Timelines vary case by case.

Why this shapes the whole deal

Because the new license takes time, an experienced broker structures the sale so escrow and the licensing transition are coordinated — not fighting each other. The goal is for the change of ownership and the change of licensee to land together, with continuity of care for residents throughout. This is exactly where facility sales differ most from ordinary real estate, and where general agents most often get stuck.

What sellers can do to help it go smoothly

  • Keep your own license in good standing through closing — the buyer’s application rests partly on the facility’s record.
  • Have facility documentation organized and current (see our guide to preparing a confidential sale).
  • Expect the buyer’s team to visit and verify — vetted, NDA-bound buyers only, at times that don’t disrupt residents.
